Terms of Service

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a healthcare organization, you represent that you have authority to bind that organization to these Terms.

The Service is intended for:

• Licensed healthcare providers (physicians, nurse practitioners, physician assistants, etc.)
• Healthcare organizations and their authorized staff
• Medical scribes working under provider supervision

You must be at least 18 years old and legally authorized to practice medicine or work in healthcare in your jurisdiction.

InnovateMed provides an AI-powered clinical documentation platform that:

• Records and transcribes patient encounters
• Generates clinical documentation (SOAP notes, HPI, etc.)
• Allows editing and export of generated content
• Stores encounter records for your access

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring only authorized users access the Service through your organization
• Immediately notifying us of any unauthorized use
• Complying with all applicable healthcare regulations, including HIPAA

Pricing

Current subscription plans and pricing are available on our Pricing page. Prices are subject to change with 30 days notice.

Billing

• Subscriptions are billed monthly or annually in advance
• Payment is processed securely via Stripe
• You authorize recurring charges to your payment method

Cancellation & Refunds

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• Refunds for partial periods are provided at our discretion
• Annual subscriptions may be eligible for prorated refunds within 14 days

You agree NOT to:

• Use the Service for any unlawful purpose
• Record patients without proper consent
• Share account credentials with unauthorized users
• Attempt to reverse-engineer, decompile, or hack the Service
• Upload malicious code or interfere with Service operations
• Use the Service to generate fraudulent documentation
• Resell or redistribute the Service without authorization
• Use generated content without provider review

Our Property

The Service, including its software, design, AI models, and documentation, is owned by InnovateMed Solutions and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service for its intended purpose.

Your Content

You retain ownership of all patient encounter recordings and generated documentation. You grant us a limited license to process this content solely to provide the Service. We may use anonymized, de-identified data to improve our AI models.

We maintain HIPAA compliance and will execute a Business Associate Agreement (BAA) with covered entities. See our HIPAA Compliance page for full details on our privacy and security practices.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for medical decisions made based on Service-generated content
• The healthcare provider bears sole responsibility for clinical judgment and patient care

You agree to indemnify and hold harmless InnovateMed Solutions, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Clinical decisions made using Service-generated content

We reserve the right to modify or discontinue the Service at any time. We may update these Terms periodically. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

We may suspend or terminate your account if you violate these Terms or for any other reason with notice. Upon termination:

• Your access to the Service will be revoked
• You may export your data within 30 days
• We will delete your data according to our retention policy

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
